AGREEMENT FOR SOCIAL MEDIA MARKETING SERVICES

This Agreement is entered into by and between WOM Influencerz F.Z.E, an entity incorporated and operating in Sharjah, UAE ("Agency"), and the undersigned influencer ("Influencer").
WHEREAS, the Agency represents Yara LLC, an application based in Dubai, United Arab Emirates ("Client");

WHEREAS, the Influencer possesses expertise in producing and promoting content through various social media platforms;

NOW, THEREFORE, for and in consideration of the mutual covenants contained herein and for other good and valuable consideration, the parties hereto agree as follows:
1. SERVICES TO BE RENDERED

(a) The Influencer agrees to provide the following deliverables in favor of promoting the Client's business, according to the respective influencer's specifics:

2. COMPENSATION

(a) For the services to be rendered by the Influencer, the Agency agrees to pay the Influencer a total compensation of:

(b) Payment Terms:
The total compensation will be paid in full upon the successful submission and approval of the content. Once the video is approved, the agreed amount will be promptly released to the Influencer before the video is posted on the platform.
3. NON-DISCLOSURE OF COMPENSATION

(a) The Influencer agrees not to disclose, discuss, or make public in any manner, either directly or indirectly, the compensation amount agreed upon in this contract. This includes non-disclosure to other influencers, third parties, and, most specifically, the Client.
4. EXCLUSIVITY

(a) The Influencer agrees that for a period of six (6) months following the conclusion of this campaign, they shall not engage in any brand deals, collaborations, partnerships, or any other commercial endeavor directly with the Client, Yara LLC, unless facilitated through the Agency.
5. TERMINATION

(a) The Agency reserves the right to terminate this Agreement at any point should the Influencer fail to deliver the agreed-upon services or breach any terms of this contract.
6. GOVERNING LAW

(a) This Agreement shall be governed by the laws of the United Arab Emirates, without regard to its conflict of law provisions.
7. ENTIRE AGREEMENT

(a) This Agreement contains the entire agreement between the parties, superseding all prior oral or written agreements or understandings pertaining to the services to be provided by the Influencer.

(b) The Influencer agrees to cooperate with the Agency to facilitate promotional efforts across various platforms, ensuring optimal visibility and engagement of the content produced under this Agreement.
8. AMENDMENTS

(a) Any modifications, changes, or amendments to this Agreement must be in writing and signed by both parties.
9. ACKNOWLEDGMENT

BY SIGNING BELOW, the Influencer acknowledges that they have reviewed, understand, and agree to the terms of this Agreement.
