1. Grant of Permission
The Creator hereby grants the Company the non-exclusive, worldwide, royalty-free right to repost the Creator's content (the "Content") on the Company’s official social media platforms, including but not limited to Instagram, TikTok, and Facebook.
2. Acknowledgment and Credit
The Company agrees to give full credit to the Creator in captions accompanying the reposted Content by tagging the Creator's social media handle and/or mentioning their name, as applicable.
3. Ownership
The Creator retains all ownership rights to the Content. This Agreement does not transfer ownership rights to the Company.
4. Use of Content
The Content may be used by the Company solely for the purposes of promotion, community engagement, and brand marketing. The Company shall not modify the Content without the prior written consent of the Creator.
5. Representation and Warranties
The Creator represents and warrants that:
(a) The Creator owns all rights to the Content or has obtained all necessary rights and permissions to grant the Company the rights outlined in this Agreement.
(b) The Content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party.
6. Termination
The Creator may revoke permission at any time by providing written notice to the Company. Upon receiving such notice, the Company will remove the Content from its platforms within 15 business days.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Emirate of Sharjah, where WOM Influencerz FZE is registered.
8. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, representations, or understandings regarding the subject matter.
